These Conditions of Sale (hereinafter, Conditions) regulate the sale transactions that can be offered, loaned or carried out from the website www.oxino.com, being the owner of said website Werku Tools SA (hereinafter, Werku), domiciled at Carretera N-VI km 586, Oleiros, La Coruña, Spain, European tax code ESA15098205, registered in the Mercantile Registry of La Coruña, Spain, Volume 477, Book 256 of Section 3 of Companies on Folio 60, page 2767 and registration 1. USER

Access and/or use of the website www.oxino.com attributes the condition of user (hereinafter, User).

These Conditions can be modified by Werku at any time, being the User informed of the existence of any new version with substantial changes. The User accepts the established Conditions, as well as its possible modifications, without prejudice to the application of the corresponding mandatory legal regulations as the case may be.

The User assumes its responsibility regarding the correct use of the website www.oxino.com. This responsibility will extend to:
– Make only legally valid inquiries, purchases or acquisitions.
– Do not make any false or fraudulent purchase.
– Provide truthful and lawful contact information.

The User declares to be over 18 years of age and have the legal capacity to enter into contracts through the website www.oxino.com.

The website www.oxino.com complies with the Spanish legislation. Werku does not guarantee that the website www.oxino.com complies with the laws of other countries, either totally or partially.

APPLICABILITY

These Conditions apply to all quotes, offers, activities, agreements and product deliveries by or on behalf of Werku that have been made through the website www.oxino.com. Deviation from these Conditions is only possible if Werku and the User have explicitly and written agreed to this.

OBJECTIVE

These Conditions regulate the transactions carried out through the website www.oxino.com that Werku makes available to the User. Purchases on the website www.oxino.com can be made from any country of the world, being the sale made from Spain. The products that Werku sells through its website are mainly technical chemicals.

These Conditions have been prepared in accordance with the provisions of Law 34/2002, on services of the information society and electronic commerce, Royal Legislative Decree 1/2007, of November 16, which approves the revised text of the General Law for the Defense of Consumers and Users and other complementary laws, all of them mandatory legal provisions.

Werku may modify these Conditions without prior notice, so that it recommends the User to consult these periodically, especially in case of making purchases. Werku undertakes to always publish the latest update of the Conditions and allow these to be accessed and printed.

The User must register to purchase on the website www.oxino.com, and must complete a form, which will entail assigning personal credentials composed of an email address and a password, whose conservation and custody will depend exclusively on the User. Therefore, the User will not use passwords other than his own, in order to impersonate another User.

The purchase of products on the website www.oxino.com can only be made by a User of legal age, who must follow the steps and instructions that will accompany the entire purchase process, and which consist, among others, of the following:
1) Completion of the registration form or the previously registered User identification form.
2) On-screen display of the order summary, delivery conditions and shipping costs.
3) Acceptance by the User of the purchase conditions, which implies the reading, understanding and irrevocable acceptance of these Conditions, as well as, where appropriate, the existing particular conditions.
4) Immediate receipt by the User of an email confirming and summarizing the order.

ORDERS

The User may not place an order without expressly accepting, through the boxes provided for this purpose, the Werku Conditions. All orders placed will be considered purchase offers subject to these Werku Conditions.

When a User places an order, everything being correct, the system automatically generates a receipt of the order. This receipt does not imply the automatic acceptance of the order, since Werku reserves the right to collect additional information, related to the identity and address of the User, to guarantee both a correct delivery of the order and to ensure the absence of fraud. In any case, Werku may, at its free will, not accept an order if it deems it necessary.

The User may place orders 365 days a year and 24 hours a day, except when the website www.oxino.com is suspended for maintenance or any other force majeure circumstance.

Any order placed by the User is subject to the availability of the correspondent product. In the event that Werku does not have stock to serve the correspondent order, the User may cancel the order or wait until its availability.

DELIVERY

The delivery of the purchased product shall be deemed to have occurred at the moment in which the User, a third party indicated by the User or a third party representing the User acquires material possession of the purchased product.

The delivery time for the order placed will vary depending on the selected shipping method and the destination city. In any case, said delivery period will not exceed 30 days from the date of order confirmation. In the event that Werku cannot meet the delivery date, it will inform the User of this circumstance and will offer either an alternative or the possibility of canceling the order with a full refund of the amount paid.

In the event that the delivery is unsuccessful, the conditions of the carrier, as a third party, will determine the procedure, although Werku will always promote successive delivery attempts.

PRICE AND PAYMENT

It is understood that the price of each product is the one that will appear on the website www.oxino.com at the time of placing each order. The User must pay the marked price, including applicable taxes, together with possible shipping costs, which will be added to the final amount to be paid.

The prices on the website www.oxino.com may be modified by Werku at any time and without prior notice, without affecting orders already confirmed. However, even for orders already confirmed, Werku will not be obliged to fulfill such orders when the price is incorrect, especially when the error is manifest and easily recognizable.

In general, the payment methods accepted on the website www.oxino.com are the following:
– Credit or debit card
– PayPal
– Bank transfer

Werku reserves the right to change these payment methods, being able to create new ones or eliminate any of the existing ones, without the User being able to make claims for this reason. In the event that the change in the payment method affects an order that has already been confirmed, Werku will contact the User to inform of said change, and the User may cancel the order.

For payments by credit or debit card, the charge is made in real time through the payment gateway of the corresponding financial institution and once it has been verified that the data communicated by the User is correct.

In order to give maximum security to the payment system, the website www.oxino.com uses secure payment systems from leading financial institutions in electronic commerce. In this sense, the confidential data of the User is transmitted directly and in an encrypted form (SSL) to the corresponding financial institution. This SSL encryption system confers total security to the transmission of data through the network. User data enjoy total confidentiality and protection. The data on credit or debit cards are not registered in any Werku database and are only used in the virtual POS of the financial institution through its Secure Payment gateway.

Credit or debit cards are subject to checks and authorizations by the corresponding issuing entity, but if said entity does not authorize payment, Werku will not be responsible for any delay, non-delivery or order cancellation.

Werku reserves the right to verify the personal data provided by the User and adopt the measures it deems appropriate (including the cancellation of the order) so that the purchased merchandise is delivered in accordance with the data contained in the order.

Regarding payments with PayPal, these are made directly on the PayPal website, following the conditions of use established by PayPal. In the event that a confirmed order has not been paid within one hour, or that the amount is not correct, Werku may cancel the order.

Regarding payments by bank transfer, the User must make the deposit into the bank account that Werku establishes at that time. In the event that a confirmed order has not been paid within 72 hours, or that the amount is not correct, Werku may cancel the order.

RIGHT OF WITHDRAWAL

The User has the right to withdraw from a purchase made on the website www.oxino.com within a period of 14 calendar days and without the need for justification. Said withdrawal period will expire 14 calendar days from the effective delivery of the product. To exercise the right of withdrawal, the User must notify Werku of his withdrawal decision through an unequivocal written statement. The User may use the model withdrawal form that is included as an annex at the end of these Conditions, although its use is not mandatory.

To meet the withdrawal period, the corresponding letter from the User must have been sent before the corresponding period expires.

In the event of withdrawal, Werku will return the amount paid by the User, including the transportation cost, within 14 calendar days from the date on which the User has informed Werku regarding his withdrawal. In this case, Werku will proceed to make the corresponding reimbursement by the same means of payment used by the User for the initial transaction, without any expense for the User as a result of the reimbursement. Regardless of the aforementioned period of 14 calendar days, Werku will not make a refund until it has received the correspondent product in perfect condition. That is, the User must first return the correspondent product to Werku, assuming the transportation cost of returning the product, so that said return is reimbursed.

The right of withdrawal will not be applicable in the following cases:
– For products whose price depends on market fluctuations.
– For products made and personalized according to the specifications of the User.
– For products that can deteriorate or expire quickly.
– For health protection or hygiene products that have been unsealed after delivery.

WARRANTY

In accordance with the General Law for the Defense of Consumers and Users and other complementary laws,

Werku offers a two-year warranty on all its products from its delivery. In the event of an incident, Werku will proceed, at its discretion, with the repair, replacement, price reduction or refund of the corresponding amount. The User, in the event of making a warranty claim, may do so through the means of contact provided above. This warranty does not cover wear and tear caused by use, or defects caused by improper use.

CUSTOMER SERVICE

Werku has a Customer Service so that the User can manage claims, doubts, warranty requests and executions of the right of withdrawal. The User can contact the Customer Service by any of the following ways:

Werku will attend to all doubts, complaints and suggestions as quickly as possible, without exceeding in any case the deadlines established in the current legislation.

For detailed information regarding personal data, Werku recommends the User to consult the Privacy Policy, also published on the website www.oxino.com.

LANGUAGE

These Conditions have been published in several languages. The Spanish version is the original and prevails over the translations.

APPLICABLE LAW AND JURISDICTION

The relationship between Werku and the User will be governed by current Spanish regulations. All disputes and claims arising from these Conditions will be resolved by the competent courts and tribunals.
